Trustee Services

As a trustee we have a fiduciary role to ensure the rights of the beneficiaries are maintained and protected and we take that responsibility very seriously.

As a trustee, we can act in the following capacities:

Bonds and Debentures

Olympia has been appointed to act as debt trustee for a wide range of debt instruments such as secured/unsecured bonds, subordinated debentures, convertible debentures and mortgage units. From the initial draft through to the execution of the trust indenture, we work closely with the Issuer and its legal counsel to ensure that the needs of all parties are fully addressed. Once the transaction closes, Olympia maintains the records, holds the security and monitors compliance through an automated diary system.

Income and Royalty Trusts

Olympia has had the opportunity to watch their clients grow and seek alternative corporate structures for the benefit of their stakeholders. Within that opportunity, we have assisted our clients in creating new income trusts or transitioning from an existing trustee to Olympia as the successor trustee. Olympia works closely with all parties to ensure the trust and supplemental agreements are reviewed and executed in a timely manner. We ensure that the proper infrastructure and protocols are in place to service the unique needs of each trust and their securityholders.

Warrants/Special Warrants

The administration of warrants/special warrants requires precise record keeping and the ability to exchange funds for securities in an efficient timely manner. Olympia works closely with the Issuer and its legal counsel to ensure that all aspects of the trust indenture can be clearly administered for the benefit of the Issuer and warrantholder. Since its inception, Olympia has acted as warrant trustee for small-cap and large companies and has developed a cost effective process to ensure that when funds are received, securities are issued and funds are disbursed to the company in a timely manner.

Voting and Exchange Trust Agreements

From the review and administration of the trust documents, Olympia ensures the beneficial holders of the trust have their opportunity to vote on all matters eligible under the agreement. We work with all the parties involved to ensure all rights are adhered to and the proper protocol is followed for any exchange features or releases out of the trust.

Escrow/Pooling Agreements

Escrow/Pooling Agreements can range from a simple regulatory escrow agreement requiring the holding of securities and their subsequent release over set time periods to complex agreements requiring funds in multiple currencies and securities being disbursed to multiple parties, and the safekeeping and release of original source code. Olympia as a trusted third party applies its extensive expertise to the process by first reviewing the agreement to ensure that the terms and conditions of the escrow can be administered in a timely, efficient manner. Olympia will also assist the parties in drafting their agreements to ensure that they are clear and concise and meet their objectives. Olympia will then ensure that all assets are received, securely deposited in a segregated account and subsequently dealt with pursuant to the terms and conditions of the agreement.

When the escrowed assets are to be released, we ensure that the letter of the agreement is followed and that the funds, securities or source code materials are distributed in a safe manner under the cover of insurance.

Lastly, all releases, transfers, pledges, cancellations, or other transactions are processed in an efficient, professional manner ensuring that the terms and conditions of the agreement are respected and all parties are protected.
